This Agreement, made this day between Credit Card Holder, hereinafter known as "Client", and EMBASSY INVESTIGATIONS, and processor CWN - IPIU, hereinafter known as "Agency, witness:

(1) Client retains Agency for the collection of evidence in the matter described in credit card order field "ADD COMMENTS ABOUT YOUR ORDER" during check out. This agreement shall commence either on the first day of the prior telephone call authorizing the investigation to go forward, or on the date of this credit card charge, whichever is earliest, and shall continue until terminated by either party for convenience by giving a ten (10) day written notice or upon final remittance by Client.

(2) Client agrees that Agency is empowered to perform said services for and on behalf of Client, and to do all things necessary, appropriate, or advisable in performing said services. The parties hereby agree that AGENCY will provide Client with investigative findings which may include written reports, documents, electronically recorded statements, video and or photographic materials. The aforementioned is subject to the terms and conditions set forth in this agreement.

(3) Agency agrees to conduct this investigation with due diligence to protect the interests of Client, and agrees that whatever confidential information is obtained while conducting the investigation will only be given to Client.

(4) Client agrees to pay a NON REFUNDABLE RETAINER DEPOSIT for services of Agency or his Agents the sum of $895.00 (US funds). However, if agency, in it's sole discretion, determines there are any unused portions of the retainer deposit once the agency is satisfied the case can be or is closed, then said unsused portions will be refunded to client. The preferred discount client hourly rate shall be $75.00 per hour, plus $.55 per mile, plus actual costs and expenses for each Agent authorized by Agency to work on his behalf. Number of Agents authorized for this case is one (1). Each additional investigator is at the applicable hourly rate. The hourly rate plus costs and expenses will be deducted from the retainer. Expenses may include, but are not limited to, rental vehicles, mileage, travel expenses, and commercial database usage fees, photographs and video. All Services are to be paid for by retainer deposit in advance.

(5) In the event that Client requests suspension or termination of the services of Agency prior to the conclusion of the case by Agency, it is agreed by Client that all monies paid to Agency shall remain the property of Agency, and any balance owing on the retainer fee, together with any accrued expenses plus costs of the investigation, shall become due and payable in full. However, any balance not used by client will be applied to further agreed work by Agency for a period of One Year.

(6) In the event Client requires Agency to make a court appearance or deposition to further substantiate the facts of the case, Client agrees to pay a discounted daily court rate to Agency the sum of Five Hundred Fifty Dollars ($550.00) per 8-hour day, or any portion thereof, for any time spent in court at the request of the Client due to this investigation. Said amount will be paid regardless of the fact that it may entail waiting or standby time.

(7) It is agreed that Agency has made no guarantee to Client as to the results regarding the above-stated matter. Agency only guarantees that the case will be worked in a timely fashion and as economically as possible.

(8) Client further agrees that all monies owed to Agency at the completion of this investigation will be paid in full at that time. All monies not paid in full as agreed will be subject to a two percent (2%) interest charge per month or any portion thereof for each and every month the balance remains unpaid. Client further agrees to pay all costs of collection plus reasonable attorney fees.

(9) All investigative findings furnished to Client are exclusively for Client's own use. Client agrees to restrict the dissemination of said findings to only third parties who have a legitimate need to know, and/or authorized by law. Client will hold Embassy Investigations, and its affiliates, including IPIU as a processor, harmless from damages, losses, cost or expenses, including attorney fees, suffered or incurred in connection with arising out of claims based on investigative findings provided to Client, and for which Client fails to keep strictly confidential. Agency will keep findings strictly confidential and will not disseminate or release any findings to third parties unless authorized by the Client, or court ordered.

(10) Client agrees to give prompt written or telephonic notice of any legal proceedings, including, without limitation to, any civil action, administrative hearing, arbitration, in which the findings of Agency or any portion thereof are to be a material issue in dispute. Agency is an independent investigative contractor provider and shall not be deemed any employee, agent, partner, or co-venture of Client. Neither party shall have the authority to make any binding representation or agreement on behalf of the other.

(11) Agency warrants to Client that the services shall be performed with the degree of skill and care that is required, and in conformity with the accepted professional standards prevailing in the private investigative industry at the time the services are performed. Agency further warrants to Client that in performing the services it will comply with all applicable local, sate and federal laws, regulations, and rules including, without limitation, those pertaining to the confidentiality of sensitive information and or information. Except as specifically provided by above, Agency disclaims all other warranties, expressed or implied.

(12) All product and information produced as the result of an investigation will not be provided to Client who has not paid for such service or product as implied or agreed. Such product or service will be retained by Agency until payment is made by the customer. In the event that Client has obtained such information or product during the course of an investigation and fails to make payment for such information, the product or information cannot be used by that client or a third party as part of a personal, civil, or criminal cause.

(13) This instrument (including any exhibits) contains the entire contract between parties, and any agreement or representation respecting the services or the duties of either party in relation thereto not expressly set forth in this instrument is null and void. Any amendment or modification of this instrument shall be in writing and duly executed by the parties. This agreement shall be governed by and construed in accordance with the laws of the applicable State (USA) having jurisdiction.

(14) In Witness Whereof, the Parties set their hands through this electronic credit card charge.
